Licence Agreement

This Licence Agreement (“Agreement”) is a legally binding contract between:
- Bazema Limited (company number 17054726) of 41 The Rowans, Poulton-le-Fylde, England, FY6 7UW (“Bazema”, “we”, “us”, “our”); and
- the individual or entity accepting this Agreement (“you”, “your”, “Licensee”).

This Agreement governs your access to and use of Bazema OS and all related systems, engines, tools, frameworks, templates, content, and materials made available through bazemaos.com (together, the “OS” or “Platform”).

By creating an account and ticking the acceptance checkbox during registration (a “click-wrap” acceptance), you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not create an account or access the OS.

This Agreement applies alongside our Terms & Conditions and Privacy Policy. If there is any conflict, this Agreement controls only in relation to licensing, permitted use, and protection of the OS and our intellectual property.

1. Definitions

In this Agreement:
- “Agency” means the estate agency business that you own, operate, or are employed/engaged by and on whose behalf you access the OS.
- “Authorised Users” means your Agency’s employees and individual contractors who (i) require access for internal Agency use, and (ii) each access the OS via their own individual account.
- “OS Materials” means all content, frameworks, templates, tools, systems, engines, assets, audit logic, documentation, copy, design, structure, and any other materials made available through the OS (whether visible, downloadable, or embedded).
- “User Content” means information you submit into the OS (including audit responses, notes, saved inputs, and other entries).
- “Outputs” means materials you create for your Agency using the OS (e.g., captions, internal SOPs, posts, documents), excluding OS Materials themselves.

2. Licence Grant

2.1 Licence. Subject to your compliance with this Agreement, Bazema grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the OS Materials solely for:
- internal use within your Agency;
- implementing OS concepts within your Agency’s day-to-day operations; and
- training Authorised Users internally within your Agency.

2.2 Single Agency scope. This licence covers one Agency. Where your Agency operates multiple branches under the same business entity, those branches are included provided access remains internal and limited to Authorised Users.

This licence does not cover agency groups, franchises, networks, multi-brand groups, sister companies, or multiple legal entities unless Bazema agrees in writing.

2.3 Free access / future tiers. The OS is currently provided free of charge. Bazema may introduce pricing, access tiers, usage limits, or eligibility criteria in the future. Where practicable, we will provide reasonable notice via email and/or in-Platform notice.

3. Intellectual Property Ownership

3.1 Our Intellectual Property. All rights, title, and interest in and to the OS and OS Materials remain the exclusive property of Bazema (or our licensors). This includes (without limitation):
- systems, engines, assets, frameworks, methodologies, processes and structure;
- templates, tools, worksheets, guides and written content;
- design elements, UI/UX, branding and visual assets;
- audit questions, scoring logic, and decisioning rules;
- software, source code, scripts and technical implementations; and
- the Bazema and Bazema OS names, logos and trademarks.

3.2 No transfer. Nothing in this Agreement transfers ownership of any intellectual property to you. Your rights are limited to the licence expressly granted.

4. Permitted Use

You may:

4.1 Use internally. Access and use the OS Materials for internal Agency purposes.

4.2 Create Outputs. Create Outputs for your Agency using the OS. Outputs may be used publicly (e.g., posted on social media) provided they do not reproduce or disclose OS Materials in a way that enables third parties to reconstruct or obtain the OS.

4.3 Internal adaptation. Adapt OS templates for internal Agency use (including applying your Agency’s branding) so long as the adapted materials are not distributed outside your Agency as templates, packs, or reusable resources.

4.4 Authorised Users. Provide access to Authorised Users via individual accounts only. You must ensure Authorised Users comply with this Agreement.

5. Prohibited Use

You must not (and must not permit any third party to):

5.1 No sharing / redistribution. Share, distribute, forward, publish, upload, or make available any OS Materials to anyone outside your Agency (including via drives, intranets, communities, WhatsApp groups, email lists, or public links).

5.2 No resale / commercialisation. Sell, licence, sublicense, rent, lease, or otherwise commercialise any part of the OS or OS Materials, including bundling OS Materials into any course, membership, consulting service, training programme, toolkit, or product.

5.3 No white-labelling / rebranding. Rebrand, white-label, repackage, or present the OS or OS Materials as your own systems, frameworks, tools, or methodology.

5.4 No extraction / reverse engineering. Copy, scrape, crawl, data-mine, reverse engineer, decompile, attempt to extract source code, decision logic, structure, sequencing, or underlying system design of the OS.

5.5 No AI training or replication.
You must not:
- use OS Materials to train, fine-tune, develop, or improve any AI/ML model or system;
- bulk-feed OS Materials into AI tools to generate derivative libraries, competing systems, or reusable packs; or
- use OS Materials to replicate Bazema OS (in whole or part) or create a competing product/service.

Clarification: This does not prevent you from using AI tools on your own Outputs (your own captions, drafts, internal documents) provided you do not input OS Materials in a way that discloses them or enables OS replication.

5.6 No credential sharing. Share accounts, passwords, or login credentials. Each Authorised User must use their own account.

5.7 No unlawful or harmful use. Use the OS in any way that is unlawful, harmful, or interferes with Platform integrity, security, or availability.

6. User Content and Feedback

6.1 User Content. You retain ownership of User Content you submit. You grant Bazema a limited, non-exclusive licence to process User Content solely to operate, provide, maintain, secure, and improve the OS and to deliver OS functionality to you.

6.2 Feedback. If you provide feedback, suggestions, or ideas about the OS (“Feedback”), you grant Bazema an unrestricted, worldwide, royalty-free, perpetual licence to use, implement, and exploit that Feedback without compensation or obligation.

7. Updates, Modifications, and Withdrawal

Bazema may, at its discretion:
- update, modify, replace, or remove OS Materials or features;
- change structure, organisation, naming, or availability of systems/engines/assets;
- introduce, modify, or remove access tiers;
- suspend, restrict, or terminate access; or
- withdraw the OS (in whole or in part).

We may provide notice of material changes where practicable, but we do not guarantee advance notice.

8. Availability, No SLA, No Warranties

The OS is provided “as is” and “as available.” We do not warrant that the OS will be uninterrupted, error-free, or available at all times, or that any specific tool or feature will remain available.

No Service Level Agreement (SLA) applies to the OS.

9. Termination

9.1 Term. This Agreement continues while you have an active OS account.

9.2 Termination by you. You may terminate by requesting account deletion.

9.3 Termination/suspension by us. Bazema may suspend or terminate your access immediately if you breach this Agreement or if we reasonably believe your use creates risk to the OS, our users, or our intellectual property.

9.4 Effect of termination. Upon termination:
- your licence ends immediately;
- you must stop using OS Materials; and
- you must delete/destroy copies of OS Materials in your possession or control.

You may keep your Outputs (e.g., your captions, your internal documents) provided they do not contain OS Materials in a way that effectively reproduces the OS.

9.5 Survival. Sections on intellectual property, prohibited use, confidentiality (where applicable), liability, indemnity, feedback, governing law, and any provisions intended to survive will survive termination.

10. Limitation of Liability

To the maximum extent permitted by law, Bazema is not liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, goodwill, or opportunities) arising from or related to your use of (or inability to use) the OS.

Bazema’s total aggregate liability to you for all claims arising under or in connection with this Agreement shall not exceed £100.

Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under law.

11. Indemnity

You agree to indemnify and hold harmless Bazema and its directors, officers, employees, and agents from and against any claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or connected with:
- your breach of this Agreement;
- your misuse of the OS; or
- your Authorised Users’ breach or misuse.

12. Privacy

Your use of the OS is governed by our Privacy Policy. By accepting this Agreement, you acknowledge you have read and understood the Privacy Policy.

13. Changes to This Agreement

We may update this Agreement from time to time. Material changes may be communicated via email and/or an in-Platform notice. Continued use of the OS after an updated version becomes effective constitutes acceptance. If you do not agree, you must stop using the OS and request account deletion.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

15. Severability

If any provision is found invalid or unenforceable, the rest of the Agreement remains in effect.

16. Entire Agreement

This Agreement, together with the OS Terms & Conditions and Privacy Policy, forms the entire agreement between you and Bazema regarding OS access and use, superseding prior discussions on this subject.
