‍1. About These Terms

‍These Terms & Conditions (“Terms”) govern your access to and use of the websites bazema.com and bazemaos.com, and all content, tools, frameworks, audits, and features made available through them (together, the “Websites”).

By accessing or using our Websites, you agree to be bound by these Terms. If you do not agree, you must not use the Websites.

These Terms apply to:
- Visitors to our Websites
- Users of the Bazema OS
- Individuals completing the Implementation Readiness Audit
- Any person interacting with our Websites in any capacity

Separate contractual terms apply to clients who purchase our implementation, stewardship, or growth partnership services. Those services are governed exclusively by a separate Implementation Agreement. If there is any inconsistency between these Terms and an Implementation Agreement, the Implementation Agreement prevails.

‍2. What We Provide

2.1 Bazema OS

‍Bazema OS is a free strategic toolkit hosted at bazemaos.com. It includes frameworks, diagnostic tools, planning tools, educational material, and the Implementation Readiness Audit.

The OS is designed to support thinking, reflection, and strategic clarity. It is not advice and does not constitute legal, financial, regulatory, marketing, or professional advice of any kind.

You are solely responsible for how you interpret and apply anything you access through the OS.

‍bazema.com provides general information about Bazema Limited, our approach, and our services. All content is provided for informational purposes only.

‍2.3 Implementation, Stewardship & Growth Partnership

‍Our paid services are governed by a separate Implementation Agreement. These Terms do not govern those services.

‍3. No Guarantees or Warranties

‍All content, tools, frameworks, and features provided through our Websites are offered on an “as is” and “as available” basis.

To the maximum extent permitted by law, we make no representations or warranties regarding:
- Accuracy, completeness, or reliability of content
- Suitability for your specific circumstances
- Any business, financial, operational, or commercial outcomes
- Continuous availability or error-free operation

Any examples or illustrations are indicative only and do not represent promises or guarantees.

‍4. Your Responsibilities

‍You agree to:
- Use the Websites lawfully and in accordance with these Terms
- Provide accurate information when submitting forms or audits
- Take full responsibility for decisions you make based on OS content
- Not rely on the OS as a substitute for professional advice
- Seek independent professional advice where appropriate

‍5. The Implementation Readiness Audit

‍The Implementation Readiness Audit is a free, automated self-assessment tool.

By submitting the audit, you agree that:
- Your responses will be processed automatically
- You will receive one results email
- You may receive one reminder email if you do not book a setup call
- Processing is governed by our Privacy Policy

Audit outcomes are informational only, non-binding, and do not create any obligation on either party. You may request human review at any time.

‍6. Intellectual Property & Licence

6.1 Our Intellectual Property

‍All content on the Websites — including text, design, layout, frameworks, tools, audit logic, scoring systems, system architecture, naming conventions, and branding — is the intellectual property of Bazema Limited or its licensors and is protected by applicable intellectual property laws.

“Bazema” and “Bazema OS” are trading names of Bazema Limited.

‍6.2 Licence to Use the OS

‍Subject to your compliance with these Terms, Bazema Limited grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Bazema OS solely for your own internal business purposes within your estate agency.

This licence does not grant you any ownership rights.

‍6.3 Restrictions

‍You must not:
- Copy, reproduce, redistribute, or republish content without consent
- Present Bazema content as your own
- Create derivative commercial works
- Use Bazema content in competing products or services
- Scrape or systematically extract content
- Remove attribution or branding
- Use the Bazema name or branding without permission
- Use any Bazema content, frameworks, tools, audit logic, or outputs to train, fine-tune, benchmark, or prompt AI or machine-learning models at scale, whether for internal or commercial use

‍6.4 User Submissions & Feedback

‍Information you submit remains yours. However, you grant Bazema Limited a non-exclusive, royalty-free licence to use it for service delivery, improvement, and internal analysis.

Any feedback or suggestions you provide may be used by Bazema without obligation, compensation, or attribution, and do not create any intellectual property rights in your favour.

Aggregated, anonymised data may be used internally.

‍7. Acceptable Use

‍You must not:
- Act unlawfully or fraudulently
- Transmit malicious code
- Attempt unauthorised access
- Disrupt site functionality
- Misrepresent identity or affiliation
- Submit false or misleading information
- Use automated systems without permission (excluding search indexing)

We may suspend or terminate access at our discretion.

‍8. Limitation of Liability

8.1 Excluded Losses

‍To the maximum extent permitted by law, we are not liable for indirect, consequential, incidental, or economic losses, including loss of profits, data, goodwill, or business opportunity.

‍8.2 Scope

‍We are not liable for:
- Decisions you make based on OS content
- Outcomes from applying OS frameworks
- Website unavailability
- Errors or omissions
- Actions of third parties

‍8.3 Liability Cap

‍Our total aggregate liability arising from your use of the Websites or OS shall not exceed £100 per claim.

‍8.4 Non-Excludable Liability

‍Nothing excludes liability for death, personal injury, fraud, or liability that cannot be excluded by law.

‍9. Third-Party Links

‍Links to third-party sites are provided for convenience only. We are not responsible for their content or practices.

‍10. Availability & Changes

‍Access to the Websites and OS is provided at our discretion and may be withdrawn, modified, or discontinued at any time. You have no right to continued availability.

We may update content, tools, or features at any time.

‍11. Accounts & Access

‍If you create an account, you are responsible for:
- Credential security
- All activity under your account
- Prompt notification of unauthorised use

We may suspend or terminate accounts at our discretion.

‍12. Indemnity

‍You agree to indemnify Bazema Limited against losses arising from:
- Your use of the Websites
- Breach of these Terms
- Legal violations
- Submitted content

‍13. Severability

‍If any provision is unenforceable, it shall be severed without affecting the remainder.

‍14. Entire Agreement & Hierarchy

‍These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement regarding Website use.In the event of conflict, Implementation Agreements and DPAs prevail over these Terms.

‍15. Waiver

‍Failure to enforce any provision is not a waiver.

‍16. Governing Law

‍These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
